Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Shopify application and related services provided by DapperLogic, LLC ("DapperLogic", "we", "us"), including the dashboard at app.dapperlogic.xyz (the "Service"). By installing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

DapperLogic synchronizes Shopify B2B tier pricing by reconciling company locations into the catalog/market that matches each customer's tier tag. Functionality may evolve over time.

2. Eligibility & authorization

You must have authority to install applications on, and grant data access for, the Shopify store you connect. By installing, you authorize DapperLogic to access and modify B2B catalog and customer tier data in that store as needed to provide the Service.

3. Subscription & fees

• The Service is offered on a recurring subscription basis. Pricing is communicated to you at sign-up (currently $67 per month, per store, unless otherwise agreed).
• Access is provided for paid or otherwise authorized periods. We may suspend or disable synchronization if a subscription lapses.
• Fees are exclusive of taxes unless stated otherwise.

4. Acceptable use

You agree not to:

• Use the Service in violation of applicable law or Shopify's terms;
• Interfere with or disrupt the integrity or performance of the Service;
• Attempt to gain unauthorized access to the Service or related systems.

5. Data

Your use of data is also governed by our Privacy Policy. You retain ownership of your store data. DapperLogic does not access payment card data and is not a payment processor.

6. Availability & disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

7. Limitation of liability

To the maximum extent permitted by law, DapperLogic will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim arising out of or relating to the Service will not exceed the amounts you paid for the Service in the three months preceding the claim.

8. Termination

You may stop using the Service at any time by uninstalling the app, which revokes our access. We may suspend or terminate access for breach of these Terms or non-payment. Provisions that by their nature should survive termination will survive.

9. Changes

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance.

10. Governing law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-laws principles.
